Groupmark focuses on private companies contemplating “going public,” as well as on existing public companies presently listed on the U.S. equity markets and are in need of financial advisement and direction.

Groupmark has designed an engagement methodology adaptable to any market and amenable to the unique life cycle of individual businesses. The Groupmark method is based upon a combination of conventional company management procedures and individual strategic planning specifically suited to its clientele. Groupmark’s business methodology incorporates the following operations:

 

1. Employment of a macro project management regimen to the client company. This course includes assignments, forecasts, schedules, and feedback.

 

2. Risk management as an indicator for business plans.

 

3. Complete disclosure of business plans and business recommendations prior to implementation. This Methodology includes four-phases:


1. Preliminary Analysis, 1-3 week after Due-diligence

  • Identify the issues; evaluate the relevance of intervention; and draft possible solutions.

2. Project Construction and Diagnosis, within a few weeks after Phase 1.

  • Investigate and diagnose business’ state of affairs.
  • Recommend a plan of action.
  • Assemble an intervention team.
  • Launch the prescribed program.

3. Implementation of Operations, 3-18 months after Phase 2.

  • Implement the prescribed plan by coordinating business activities, motivating
  • teams, and communicating with shareholders.
  • Coach executives and middle management.
  • Update the business plan.

4.   End of Assignment,  2-4 Months after Phase 3

  • Organize the business “hand off “ from Groupmark Financial Services, Ltd. to client company.
  • Initiate the recruitment of staff and/or arrange for the transfer of temporary staff to permanent status.
  • Assess results.
Pricing Structure
  • Preliminary Analysis Phase: Once engaged in a contract, Groupmark will provide a preliminary analysis of services needed and will invoice the analysis report at a flat rate premium charge.
  • Project Construction and Diagnosis Phase: The project construction phase will be billed as either a lump sum or as a monthly fee, based upon the size of the contract and the requirements set forth in the business diagnosis.
  • Implementation of Operations Phase: The “IDO” phase will be billed on a “package" fee basis. The Groupmark quotation may account for an intervention team and may provide allowances for daily business administration.
  • End of Assignment: Additional fees may be assessed for extended consulting services required at the end of the assignment.
  • Investor Relations:  Investor relations consulting fees are billed as a separate “package” of services.
  • Additional fees may be assessed based upon goal achievements.
